Terms of Service

These Terms of Service (the “Terms”) are a legal agreement between you and Alpha Business Partners, LLC (“ABP”, “we”, “us”, or “our”), which operates CentralHq — the web application and related services (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.
1. Acceptance
By accessing or using the Service you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
2. Accounts & eligibility
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You agree to provide accurate account information and to keep it current.
- You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
- An organization’s owner and administrators are responsible for managing that organization’s members and their access.
3. The Service & your content
The Service helps you operate ventures — tracking work, decisions, documents, money, and related records you choose to enter (“Your Content”). As between you and ABP, you own Your Content. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to provide and improve the Service and as permitted by the Privacy Policy.
You are responsible for Your Content and for ensuring you have the rights to use it with the Service. We may modify, suspend, or discontinue features of the Service from time to time.
4. Acceptable use
You agree not to:
- use the Service in violation of any law or third-party right;
- upload malware or attempt to disrupt, probe, or gain unauthorized access to the Service;
- reverse engineer, resell, or build a competing service from the Service except as permitted by law;
- misuse the Service to store or transmit unlawful, infringing, or abusive material; or
- exceed or circumvent plan limits, rate limits, or access controls.
5. Plans, billing & payment
- The Service offers a free plan and paid subscription plans. The free plan is available globally; paid plans are currently available only to customers with a United States billing address, and all prices are in U.S. dollars (USD).
- Paid plans are billed in advance on a recurring basis (monthly or annually, as you select) and renew automatically until cancelled. By subscribing, you authorize us and our payment processor to charge your payment method for each renewal.
- Payments are processed by Stripe, Inc. We do not collect or store your full card number; card data is handled by Stripe under its terms and security standards.
- We may change plan prices or features. We will give reasonable advance notice of a price increase, and changes take effect on your next billing period; continued use after that constitutes acceptance.
- You are responsible for any taxes associated with your purchase except for taxes on our income.
6. Cancellation & refunds
You may cancel a paid subscription at any time from your billing settings. When you cancel, your plan remains active through the end of the period you have already paid for, and it will not renew after that.
Payments are non-refundable, and we do not provide refunds or credits for partial billing periods or unused time, except where required by applicable law. If you believe you were billed in error, contact us and we will work with you in good faith.
7. Intellectual property
The Service, including its software, design, and trademarks (including “CentralHq”), is owned by ABP and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted. We welcome feedback and may use it without obligation to you.
8. Third-party services
The Service relies on third-party providers (for example, Stripe for payments and Microsoft Azure for hosting and email delivery). Your use of those features may be subject to the third party’s terms, and we are not responsible for third-party services. See our Privacy Policy for how data is shared with providers.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any calculation, runway figure, or financial output is accurate or suitable for accounting, tax, or investment decisions. You are responsible for your own business and financial decisions.
10. Limitation of liability
To the maximum extent permitted by law, ABP and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).
11. Indemnification
You agree to indemnify and hold harmless ABP and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, or your violation of these Terms or applicable law.
12. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, or to protect the Service or other users. Upon termination, your right to use the Service ends; sections that by their nature should survive (including payment obligations, intellectual property, disclaimers, liability limits, and governing law) will survive.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law & disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You and ABP agree to the exclusive jurisdiction and venue of the state and federal courts located in Texas for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
